The changes in contract practice that can be observed are characterized by two main features: The transactions to be regulated are increasingly becoming cross-border and have contacts with two or even more legal systems. This gives rise to the need to be able to quickly assess the risks and opportunities that foreign legal systems entail. This is not only a matter of handling a regulatory technique that differs from national law; the challenge also lies in finding one's way around foreign languages and legal cultures.

At the same time, it can be seen that all contracts of some significance are becoming increasingly complex and more and more tailored to the individual case. The fundamentally higher target accuracy of the contracts as a result is offset by an intensive review effort and the risk of unilateral contract drafting in favor of the economically stronger party.
